CONSULTANCY IN EXTRAORDINARY OPERATIONS

The economic dynamics of companies often involve the opportunity to change the corporate and tax structures; separation of business branches, sale or lease of companies, integration of different corporate structures or business divisions, and listing on regulated markets and financial restructuring, including through the intervention of third parties in risk capital. The resolution of these issues may take the form of mergers, demergers, contributions, leases, disposals, acquisitions and divestments, leveraged buy-outs and management buy-outs, venture capital and minority investments, joint ventures and strategic alliances, changes in share capital, bond issues, including convertible bonds, and other capital transactions.

In the context of capital transactions, it can also carry out the activity of presenting investment opportunities to investors, both institutional and non-institutional. Economic and financial plans necessary for the evaluation of operations are examined in advance and also prepared. The activity of research and selection of strategic and / or financial partners, is carried out by working with major investment funds, including through the national network A.I.F.I., Italian Association of Institutional Investors in Risk Capital, with which TECA is associated.
