{"id":2242,"date":"2021-09-29T15:24:41","date_gmt":"2021-09-29T13:24:41","guid":{"rendered":"https:\/\/www.tecaconsulting.com\/servizi-fiduciari-e-di-revisione\/"},"modified":"2021-11-18T15:31:39","modified_gmt":"2021-11-18T14:31:39","slug":"fiduciary-and-auditing-services","status":"publish","type":"page","link":"https:\/\/www.tecaconsulting.com\/en\/fiduciary-and-auditing-services\/","title":{"rendered":"Fiduciary and Auditing services"},"content":{"rendered":"<h3>\n\t\t\t\t\t\tServices to customers<br \/>\n\t\t\t\t<\/h3>\n<h1>SERVIZI FIDUCIARI E DI REVISIONE<br \/>\n<\/h1>\n<h3>Within the TECA container the company TECA Fiduciaria e di Revisione s.r.l. operates, authorized by Ministerial Decree to exercise the activity of fiduciary registration and organization and auditing in accordance with Law 66\/1936.<br \/>\n<\/h3>\n<h3>\n\t\t\t\t\t\tRegistration of assets<br \/>\n\t\t\t\t<\/h3>\n<p>\t\tThe activity of administration with fiduciary registration of third party assets is the typical service of the fiduciary company and consists in the registration of company shareholdings, real estate, current accounts, other securities and rights. The registration takes place in the name of the trustee for the exclusive account of the trustor who retains ownership of the assets while maintaining strict anonymity. The trust company can act only and exclusively according to the directives of the client with the obligation to reintroduce the assets to the actual owner upon simple request of the same; the trust company also cannot carry out any activity of management of the assets in its name and must act exclusively according to the explicit instructions of the client.<\/p>\n<h3>\n\t\t\t\t\t\tAncillary activities<br \/>\n\t\t\t\t<\/h3>\n<p>\t\tWithin the scope of fiduciary services there is also a series of other activities such as, for example:\t\t<\/p>\n<ul>\n<li>\n\t\t\t\t\t\t\t\t\t\tthe administration and custody of securities, including the filing and updating of company books and the related fulfilments;\n\t\t\t\t\t\t\t\t\t<\/li>\n<li>\n\t\t\t\t\t\t\t\t\t\tthe administration of shareholdings in joint-stock companies in relation to the exercise of the rights to which they are entitled, including those of quotas bound in shareholders&#8217; agreements;\n\t\t\t\t\t\t\t\t\t<\/li>\n<li>\n\t\t\t\t\t\t\t\t\t\tthe activity of common representative of bondholders of companies with delegated powers to attend and vote at shareholders&#8217; meetings.\n\t\t\t\t\t\t\t\t\t<\/li>\n<\/ul>\n<p>\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<img decoding=\"async\" src=\"https:\/\/www.tecaconsulting.com\/wp-content\/uploads\/2021\/11\/AdobeStock_353847120-scaled.jpeg\" title=\"Signing business contract\" alt=\"Deal concept. The intervention of the trustee as withholding agent may result in the exclusion of the actual recipients from the obligation to declare such income.\t\t<\/p>\n<h3>\n\t\t\t\t\t\tAudit and accounting organization<br \/>\n\t\t\t\t<\/h3>\n<p>The fiduciary is authorized to provide different types of services to customers such as the auditing and certification of financial statements, balance sheets and financial statements with the exception of companies listed on regulated markets. It is also able to provide<\/p>\n<ul>\n<li>\n\t\t\t\t\t\t\t\t\t\tassistance in the preparation and restructuring of accounts;\n\t\t\t\t\t\t\t\t\t<\/li>\n<li>\n\t\t\t\t\t\t\t\t\t\tassistance in the transfer of share packages or quotas, in the transfer of rights on shareholdings and securities;\n\t\t\t\t\t\t\t\t\t<\/li>\n<li>\n\t\t\t\t\t\t\t\t\t\tassistance in generational transfers of control of corporations;;\n\t\t\t\t\t\t\t\t\t<\/li>\n<li>\n\t\t\t\t\t\t\t\t\t\tdomiciliation of company headquarters;\n\t\t\t\t\t\t\t\t\t<\/li>\n<li>\n\t\t\t\t\t\t\t\t\t\tmanagement and updating of compulsory data such as the keeping of the single computerised archive on behalf of third parties and the fulfilment of obligations relating to the Bank of Italy and the Italian Exchange Office.\n\t\t\t\t\t\t\t\t\t<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>Services to customers SERVIZI FIDUCIARI E DI REVISIONE Within the TECA container the company TECA Fiduciaria e di Revisione s.r.l. operates, authorized by Ministerial Decree to exercise the activity of fiduciary registration and organization and auditing in accordance with Law 66\/1936.
